1. Introduction

Welcome to ProTranscribe! These Terms of Service ("Terms") govern your use of our transcription services (the "Services"). "ProTranscribe" refers to Some Business, LLC d/b/a ProTranscribe, a Delaware limited liability company located at 8 The Green, Ste. B, Dover, DE 19901. By using our Services, you ("Customer") agree to these Terms.

2. Services

ProTranscribe provides transcription services. You may submit audio files ("Input") to our Services, and we will generate text transcripts ("Output"). Together, Input and Output are referred to as "Content."

3. Ownership and Use of Output

As between Customer and ProTranscribe, and to the extent permitted by applicable law, Customer owns all right, title, and interest in and to the Output generated from Customer's Input. Upon generation of the Output, ProTranscribe hereby assigns to Customer any right, title, or interest ProTranscribe may have in the Output. Customer has the unlimited right to use, modify, distribute, and otherwise exploit the Output for any lawful purpose without restriction or further obligation to ProTranscribe. This includes the right to incorporate the Output into other works, create derivative works based on the Output, and commercialize the Output. The payment of fees for ProTranscribe's transcription services constitutes full and final compensation for the Output.

4. Integrity of Output

ProTranscribe represents and warrants that the Output generated from Customer's Input will be derived solely from the audio data contained within the Input provided by the Customer. ProTranscribe will not inject any additional content, including but not limited to advertisements, promotional materials, or other data, into the Output that is not present in the original Input audio file. The Output will accurately reflect the transcription of the Input at the time of processing.

5. No Implied Endorsements

Any references to third-party products, services, or entities within the Output do not constitute an endorsement or affiliation by ProTranscribe of those third parties. Such references are solely based on the content of the Input audio and do not reflect the views or opinions of ProTranscribe.

6. Account Registration and Access

• You must provide accurate and complete registration information to use our Services.
• You are responsible for maintaining the confidentiality of your account credentials.
• You may not share your account with others or allow others to use your account.

7. Acceptable Use

You agree to use our Services only for lawful purposes and in compliance with these Terms and all applicable laws. You may not use our Services:

• For any illegal, harmful, or abusive activity.
• To infringe on the intellectual property rights of others.
• To interfere with or disrupt our Services.
• To attempt to reverse engineer or gain unauthorized access to our systems.

8. Fees and Payment

• Fees for our Services are as described on our website.
• We may change our fees from time to time with reasonable notice.
• You are responsible for all applicable taxes.

9. Intellectual Property

• Except for the rights granted to you in Section 3, ProTranscribe retains all right, title, and interest in and to the Services, including all software, technology, and trademarks.
• You may not use our trademarks without our prior written consent.

10. Disclaimers

• Accuracy: Output may not always be completely accurate. You are responsible for reviewing and verifying the accuracy of Output before relying on it.
• Warranties: Our Services are provided "as is" without any warranties, express or implied. We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, ProTranscribe's total liability to you for any damages arising out of or related to these Terms or the Services will not exceed the amount you paid for the Services in the 12 months preceding the claim.

12. Term and Termination

These Terms will remain in effect until terminated by either party. We may terminate these Terms or suspend your access to the Services at any time for breach of these Terms or for any other reason with reasonable notice.

13. Governing Law and Venue

These Terms are governed by Delaware law, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, and the parties hereby consent to the personal jurisdiction of such courts.

14. Entire Agreement

These Terms constitute the entire agreement between you and ProTranscribe regarding the Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.
